Ticketing Terms & Conditions
Please read the following carefully. These Events and Donation Terms (these “Event Terms”) govern your access to
and use of the PosterMyWall ticketing and event-registration, and donation features made available by 250 Mils LLC
(“PosterMyWall,” “we,” “us,” or “our”) through the PosterMyWall website at postermywall.com and any related
products or services that enable users to create event listings, sell or issue paid or free tickets, collect
registrations, manage attendee information, process admissions, collect donations and related functions
(collectively, the “Event Services”).
These Event Terms supplement, and are incorporated by reference into, the PosterMyWall
Terms of Use (the “Terms of Use”). If you use the Event Services on
behalf of a company, organization, or other entity, then (a) “you” and “your” includes you and that entity, and
(b) you represent and warrant that you are an authorized representative of that entity with the authority to bind
the entity to these Event Terms, and that you agree to these Event Terms on the entity’s behalf.
IF YOU DO NOT AGREE TO THESE EVENT TERMS, YOU ARE NOT AUTHORIZED TO USE THE EVENT SERVICES AND YOU MUST
PROMPTLY CEASE USING THEM.
By agreeing to these Event Terms, you expressly agree that any Disputes relating to the Event Services are
subject to the arbitration, class action waiver, governing law, and related dispute-resolution provisions in the
Terms of Use.
Capitalized terms not defined in these Event Terms have the meanings given to them in the Terms of Use.
These Event Terms are governed by and subject to the governing law, dispute-resolution, arbitration, class-action
waiver, limitations period, and other general legal provisions set forth in the
Terms of Use, except to the extent these Event Terms expressly
provide otherwise.
PosterMyWall may update these Event Terms from time to time by posting an updated version. If any provision of
these Event Terms is held unenforceable, the remaining provisions remain in effect.

1. Definitions
“Attendee” means the individual associated with a Ticket, whether that individual is the Buyer or another person
designated by the Buyer.
“Buyer” means a person who purchases a Ticket, or registers for a Ticket, whether or not that person holds a
PosterMyWall account.
“Connected Account” means the Stripe account used by an Organizer in connection with the Event Services.
“Donation” (also referred to at checkout as a “Contribution”) means an optional, voluntary amount an Attendee or
visitor elects to pay through the Event Services in connection with an Event, in addition to and separate from any
Ticket price. A Donation does not purchase admission and does not itself produce a Ticket.
“Event” means any in-person, virtual, or hybrid event, activity, class, gathering, performance, or other offering
listed through the Event Services. An Event includes any optional Donation enabled on that Event.
“Event Content” means all information, text, images, videos, descriptions, pricing, custom questions, waivers, and
other content submitted in connection with an Event.
“Organizer” means a user who creates an Event and uses the Event Services to issue or sell Tickets or to enable
Donations on an Event.
“RSVP Event” means an Event that collects registrations for headcount only. An RSVP Event does not issue a Ticket or
a QR code; it produces only a registration record.
“Stripe” means Stripe, Inc. and its affiliates, in its capacity as our payment-processing and connected-account
provider.
“Ticket” means a paid admission ticket or free ticket issued through the Event Services, including the QR code
associated with it. A Ticket may be checked in for entry.
2. PosterMyWall’s Role as a Platform
PosterMyWall provides software tools that enable Organizers to create event pages, market events, collect
registrations, sell or issue tickets, collect optional Donations, and manage Events. PosterMyWall is not the
creator, organizer, promoter, operator, venue, sponsor, or owner of any Event listed through the Event Services, is
not the source of any Ticket, and is not the recipient of, and does not solicit, any Donation.
Any contract for the purchase of a Ticket or for registration to attend an Event is solely between the Organizer and
the Buyer. PosterMyWall is not a party to that contract. The Organizer is solely responsible for the Event,
including its planning, operation, legality, quality, safety, accessibility, accuracy, performance, fulfillment,
cancellation, postponement, and compliance with all applicable laws, regulations, permits, and industry
requirements.
PosterMyWall does not investigate, control, endorse, or guarantee any Organizer, Event, venue, or Event Content, and
does not verify that any Event will occur as listed. Buyers and Attendees participate in Events at their own risk.
Organizers are responsible for all event-related communications, notices, receipts, disclosures, refund approvals,
access instructions, event updates, and complaint handling relating to their Events. PosterMyWall may send certain
automated transactional messages (such as order confirmations and reminders) as part of the Event Services without
thereby assuming responsibility for the Event or the Organizer’s obligations.
3. Eligibility, Access, and Onboarding
Paid ticketing is available to PosterMyWall users enrolled in an eligible Subscription and is limited to certain
regions as determined by PosterMyWall in its discretion. PosterMyWall may modify, suspend, restrict, or discontinue
access to any or all Event Services at any time.
To use the Event Services as an Organizer, you must:
- Be at least 18 years old and capable of forming a binding contract.
- Have a valid PosterMyWall account in good standing.
- For paid ticketing, maintain a Stripe Connected Account and comply with the Stripe agreements you enter into directly with Stripe.
- Provide complete, accurate, and current account, business, tax, contact, and identity information.
Organizers are subject to an ongoing rating and monitoring process based on factors that may include refund rate,
chargeback rate, cancellations, report rate, scan rate, and event volume. PosterMyWall may use these signals to
limit, suspend, or terminate access to the Event Services.
4. Stripe Connected Accounts
PosterMyWall uses Stripe as its third-party payment processor for paid ticketing. Organizers must maintain a
Connected Account with Stripe in order to sell paid Tickets and accept Donations through the Event Services.
Organizer understands that Organizer shall have a direct contractual relationship with Stripe which may impose
additional requirements, holds, reserves, reversals, verifications, restrictions, or terminations.
By using the Event Services, Organizer agrees that PosterMyWall may share information about you, your business, your
Connected Account, your Events, and your transaction activity with Stripe as necessary to facilitate the Event
Services.
Where required by Stripe or PosterMyWall, you must ensure that your acceptance of these Event Terms and any related
onboarding flows creates clear, binding authorization for PosterMyWall to provide platform services and to initiate
permitted activity on your behalf in connection with your Connected Account.
5. Fees, Pricing, and Payment Method Settings
PosterMyWall charges the Buyer a platform fee and a payment processing fee for use of the Event Services. Both fees
are PosterMyWall’s own charges for the booking and payment services PosterMyWall provides, and are collected by
PosterMyWall. These fees will be disclosed in-product and vary according to the Organizer’s subscription plan (as
described in the PosterMyWall Terms of Use).
Depending on product settings, these fees may be absorbed by the Organizer or passed through to the Buyer. All fees
are non-refundable, even where a Buyer is refunded, a Ticket is returned, or an Event is cancelled, unless required
by applicable law, in the case of a verified technical error attributable to PosterMyWall, or as PosterMyWall may
determine in its sole discretion.
PosterMyWall discloses the applicable fees before purchase. Depending on the Organizer’s fee setting, a fee may be
shown to the Buyer as a separate amount or included within the price the Buyer pays. The Organizer selects the
available fee-pass-through setting for its Event. The Organizer is responsible only for accurate ticket pricing, its
own event terms, and the refund discretion it actually has.
Funds collected from paid Ticket sales will be settled to the Organizer through Stripe, net of PosterMyWall’s fees.
PosterMyWall’s fees are its own charges and are non-refundable as set out in these Event Terms.
PosterMyWall may set, and change from time to time, operational rules for the Event Services, including minimum and
maximum ticket prices, maximum tickets per order, and velocity limits. Current values are disclosed in-product.
6. Settlement of Funds; No Fiduciary Relationship
All payments and funds are processed and held through Stripe. PosterMyWall does not process or hold any funds as
your trustee, bank, fiduciary, escrow agent, or money transmitter for your benefit. Nothing in these Event Terms
creates a fiduciary, trust, agency, partnership, employment, or joint venture relationship between PosterMyWall and
any Organizer.
6.1 Payout Timing
PosterMyWall controls when payouts to the Organizer are initiated and may withhold, delay, or decline to initiate a
payout. Funds will be released only to the Organizer’s Connected Account, which must be in good standing at the time
of transfer.
Any payout date or timeline displayed in the Event Services is an estimate only and is dependent on Stripe.
PosterMyWall does not guarantee funds will be available on any particular date and is not responsible for delays
caused by Stripe, financial institutions, payment networks, governmental authorities, force majeure events, or risk
controls.
6.2 Right to Hold or Withhold Funds
PosterMyWall may, at any time and with or without prior notice where permitted by applicable law, delay, suspend,
withhold, restrict, condition, or decline to initiate any payout, or instruct Stripe to do so, and may establish or
maintain a reserve, if PosterMyWall believes doing so is necessary or appropriate to protect PosterMyWall, Buyers,
Stripe, other users, or third parties, or to ensure compliance with these Event Terms, any Stripe agreements, or
applicable law.
Stripe acts independently of PosterMyWall. Verification requirements, payout holds, buffers, reserves, restrictions
on accepting payments, suspension, and account closure may be applied by Stripe independently of PosterMyWall’s
payout schedule, and PosterMyWall cannot lift, overturn, shorten, or appeal them. The Organizer may contact Stripe
directly regarding its Connected Account and must respond to Stripe within Stripe’s deadlines. Refunds, chargebacks,
and dispute fees are drawn from the Organizer’s balance; if that balance is insufficient, Stripe may recover the
shortfall from funds it holds back or by debiting the Organizer’s bank account, and none of this reduces any amount
the Organizer owes PosterMyWall. PosterMyWall may retain withheld amounts for so long as it determines is necessary
to investigate, protect against, or satisfy actual or anticipated claims, losses, chargebacks, refunds, penalties,
fees, legal obligations, or other liabilities.
6.3 No Entitlement to Certain Proceeds
Organizer shall have no right to receive a payout of any amounts attributable to transactions that are: (a)
fraudulent or unauthorized; (b) reversed, refunded, charged back, or duplicated; (c) associated with a fake,
unlawful, canceled, materially misrepresented, or non-occurring Event; or (d) otherwise subject to withholding to
the extent necessary to address actual or anticipated refunds, reversals, chargebacks, claims, fines, penalties,
legal obligations, or other liabilities arising out of the applicable transaction or Event.
If a Buyer is refunded, or a transaction is reversed or charged back, Organizer shall not be entitled to the
corresponding amount. Where PosterMyWall has forced or issued a refund to a Buyer (including in cases of fraud,
cancellation, enforcement, or risk), PosterMyWall may recover or offset that amount from the Organizer under Section
6.4.
Withholding based on a pending investigation is a temporary protective measure and not a permanent forfeiture,
except to the extent the transaction falls within the categories above or the amounts are applied to actual or
anticipated liabilities. Any remaining amount not required for those purposes will be released.
6.4 Reserves and Offsets
PosterMyWall may impose a rolling, fixed, or event-based reserve or other holdback against current or future payouts
in an amount and duration it determines necessary in light of your events, transaction history, refund exposure,
dispute history, event date, complaints, or other risk factors, and may increase, decrease, or remove a reserve at
any time.
You authorize PosterMyWall, to the fullest extent permitted by applicable law, to offset or recoup from current or
future payouts any amounts you owe or may owe to PosterMyWall, Stripe, Buyers, or other third parties arising out of
your Events, ticket sales, disputes, reversals, refunds PosterMyWall has issued or forced, fees, fines, penalties,
indemnification obligations, or breach of these Event Terms. If current and future payouts are insufficient, you
remain fully liable for the deficiency and must promptly reimburse PosterMyWall upon demand.
6.5 Refunds, Chargebacks, and Seller Liability
You are solely responsible for your Events, your ticketing practices, your communications with Buyers, and all
refunds, credits, chargebacks, reversals, claims, fines, penalties, taxes, and other liabilities arising from your
Tickets, events, or conduct. PosterMyWall may, directly or through Stripe, deduct or recover such amounts from your
payouts or reserves, or require you to fund them separately. PosterMyWall may also force refunds at its discretion
in cases of fraud, cancellation, enforcement, or risk.
Where an Event is operated by an Organizer account with multiple users, the Organizer account is responsible for all
refunds and liabilities regardless of which user initiates a refund or receives a payout. Refunds are returned to
the Buyer’s original payment method. On a partial refund, non-refundable fees are retained and the remaining balance
is returned.
Nothing in these Event Terms obligates PosterMyWall to advance funds, release funds before resolution of any dispute
or risk review, or pursue any claim on your behalf.
6.6 Information Requests and Cooperation
You agree to promptly provide any information, records, or assistance reasonably requested by PosterMyWall or Stripe
in connection with payment processing, payout administration, disputes, chargebacks, Event verification,
complaints, legal compliance, or risk review. Failure to cooperate may result in delayed, withheld, or canceled
payouts, suspension, and/or termination of the Event Services.
7. Organizer Responsibilities
You are solely responsible for your Events and all information provided. Without limiting the foregoing, you must:
- Accurately describe the Event, including date, time, time zone, location, access instructions, age restrictions, capacity, and any relevant terms.
- Set and manage your Event’s capacity and inventory; PosterMyWall is not responsible for oversells, undersells, or capacity errors.
- Provide a safe Event and comply with all venue-safety and accessibility (e.g., ADA) requirements applicable to your Event.
- Have all rights, licenses, permits, insurance, venue rights, talent rights, and publicity rights necessary to hold the Event and sell or issue Tickets.
- Comply with all applicable laws, including consumer-protection, ticketing, pricing, accessibility, privacy, anti-spam, tax, sanctions, and anti-money-laundering laws.
- Ensure all Event information is truthful, not misleading, and non-infringing.
- Provide all goods, services, admission, access, support, and communications necessary to fulfill the Event.
- Maintain sufficient funds and capability to satisfy refunds, disputes, and other obligations.
- Promptly notify Buyers of material changes, postponements, venue changes, cancellations, or access issues.
8. Prohibited Events and Conduct
You must not use the Event Services to create, list, promote, or operate Events or transactions that:
- Are fraudulent, deceptive, or impersonate another person or entity.
- Violate the Event Terms, the Stripe agreements, or applicable law.
- Involve illegal gambling, prohibited weapons, prohibited drugs, unlawful financial activity, or any other restricted business activities listed in the Stripe Restricted Businesses list.
- Promote hate, violence, terrorism, harassment, discrimination, or unlawful conduct.
- Infringe intellectual property, privacy, publicity, or other third-party rights.
- Mislead Buyers about the nature, timing, quality, location, or existence of the Event.
PosterMyWall may refuse, flag, unpublish, disable, remove, or restrict any Event or Organizer account at any time in
its discretion.
9. Taxes
The Organizer is solely responsible for determining whether any taxes apply to the sale of its Tickets, and for
collecting, reporting, and remitting the correct tax to the appropriate authorities. The Organizer may choose to add
a tax to its Event through the Event Services, but the Organizer remains solely responsible for remitting it. Any
tax shown at checkout reflects the setting the Organizer selected; PosterMyWall does not determine, collect, or
remit taxes on the Organizer’s behalf.
If PosterMyWall or Stripe is required to collect, withhold, report, or remit any taxes, you authorize them to do so
and to deduct corresponding amounts from funds otherwise payable to you.
10. Data, Privacy, and Communications
Through the Event Services, Organizers may receive personal information regarding Buyers and Attendees. The
Organizer is an independent controller of its collection and use of that information and must: (i) use it only for
operating the Event and as permitted by law; (ii) honor applicable consent and communication preferences, including
marketing-consent settings; (iii) protect it with appropriate safeguards; and (iv) comply with all applicable
data-protection laws. PosterMyWall’s use of personal information is described in the
Privacy Policy.
PosterMyWall may share information as required with law enforcement or regulatory authorities, as further described
in the Privacy Policy.
11. No Obligation to Recall Marketing Materials
Deleting, unpublishing, or disabling an Event does not obligate PosterMyWall to retract, recall, or remove any
marketing, promotional, archival, reference, or derivative materials that already incorporate or reference the Event
or Organizer, whether created by the Organizer, third parties, or PosterMyWall, except as required by applicable law
or where PosterMyWall chooses to do so. Organizers may request removal of materials related to their Event by
contacting help@250mils.com; PosterMyWall shall not be obligated to remove
such materials.
11A. License to Event Content
The Organizer grants PosterMyWall a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and
distribute the Organizer’s Event Content as necessary to operate the Event Services and to market and promote the
Event and the Event Services.
12. Suspension, Enforcement, and Termination
PosterMyWall provides mechanisms for Buyers and others to report Events. PosterMyWall may, at its discretion and
without prior notice, take enforcement actions including disabling Ticket sales, unpublishing an Event, forcing
refunds at the order or Event level, holding, extending, withholding, or releasing transfers (as set out in Section
6), declining to disburse funds, and suspending or terminating an Organizer’s access to the Event Services. These
remedies are in addition to any rights under the Terms of Use, the Stripe agreements, or applicable law.
PosterMyWall may modify, suspend, or discontinue any part of the Event Services at any time.
13. Warranty Disclaimer
The Event Services are provided on an “as is” and “as available” basis, and to the maximum extent permitted by law,
PosterMyWall disclaims all warranties, express or implied, including implied warranties of merchantability, fitness
for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, PosterMyWall is not liable for any indirect, incidental, consequential,
special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, reputational harm, or
business interruption, arising from or relating to the Event Services, any Event, or any transaction.
15. Indemnification
The Organizer shall defend, indemnify, and hold harmless PosterMyWall and its affiliates from any claims, damages,
liabilities, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out
of or related to the Organizer’s Event, its use of the Event Services, refunds or chargebacks in connection with its
Events, any injury, death, or property damage arising at or from its Event, its handling of personal information, or
its breach of these Event Terms. This indemnity supplements, and does not limit, any indemnification obligations in
the Terms of Use.
These terms apply to Buyers, Attendees, and persons who make a Donation.
16. PosterMyWall is a Platform, Not the Organizer
PosterMyWall provides tools that Organizers use to list Events and sell or issue Tickets. PosterMyWall is not the
Organizer, promoter, operator, venue, or seller of any Event or Ticket. Your purchase or registration is a contract
between you and the Organizer. PosterMyWall is not responsible for the Event, its quality, safety, legality,
accessibility, or whether it takes place. PosterMyWall does not verify or endorse any Events or Organizers.
To the maximum extent permitted by law, PosterMyWall disclaims all liability for the Event or for any indirect,
incidental, special, consequential, exemplary, or punitive damages arising from your purchase or attendance. Any
dispute regarding an Event, a Ticket, a refund, or admission is solely between the Buyer or Attendee and the
Organizer. Your sole recourse for any claim arising out of or relating to an Event is against the Organizer.
17. Event Information and User Responsibility
Buyers are responsible for reviewing Event details, including date, time, location, age restrictions, refund terms,
and access instructions before purchasing or registering. PosterMyWall does not guarantee that Event listings are
accurate, complete, or up to date.
18. Refunds and Refund Requests
Refunds are governed by these Event Terms and applicable law. Buyer refund requests submitted before the refund
cutoff are processed automatically. After the cutoff, refunds are subject to the Organizer’s approval. The refund
cutoff is communicated through the Event Services (currently 24 hours before the Event start, measured in the
Event’s timezone) and may be changed by PosterMyWall. Where a refund requires Organizer approval, a refund request
is a request to the Organizer and is not a guarantee of a refund, and your sole remedy for a denied or unresolved
request is with the Organizer.
PosterMyWall may review, approve, decline, or issue refunds, including after any cutoff, in cases of fraud,
cancellation, enforcement, or risk. A refund from PosterMyWall in one instance does not entitle the Buyer to
additional refunds from PosterMyWall.
PosterMyWall’s fees (the platform fee and the payment processing fee) are PosterMyWall’s own charges and are
non-refundable, even where a Buyer is refunded or an Event is cancelled, except where required by applicable law,
due to a verified technical error attributable to PosterMyWall, or as PosterMyWall may determine in its discretion.
Fee amounts are disclosed before purchase. Because fees are non-refundable, a refund returns the ticket price less
applicable fees, and the amount refunded to the Buyer may be less than the total amount the Buyer paid. Once an
Attendee has been checked in to an Event, the corresponding Ticket is no longer eligible for refund.
19. Tickets, Admission, and QR Codes
Each Ticket includes a unique QR code used for entry validation. The first valid scan marks the Ticket as used;
later scans show it as already used.
Tickets are personal to the Buyer and/or named Attendee and may not be transferred, duplicated, misused, or resold.
Refunded, voided, cancelled, duplicated, disputed (subject to an active chargeback or card dispute), or fraudulent
Tickets are invalid.
A Ticket for which a refund request is pending remains valid until the refund is processed, at which point it
becomes void. A Ticket voided by refund or dispute cannot be used for entry. Because checkout may not require a
PosterMyWall account, you are responsible for retaining your order confirmation, email, and order-access
information.
20. Reporting Events
If you believe an Event is fraudulent, misrepresented, unsafe, or otherwise improper, you may report it through the
“Report this event” feature or by contacting support at
help@250mils.com. Reporting an Event does not itself guarantee a refund.
21. User Data
When you purchase a Ticket or make a Donation through the Event Services, you provide information to us and the
Organizer, which may include your name, email, and attendee names. You agree that PosterMyWall may share your
personal information with the Organizer and our payment processor as necessary to facilitate the Event Services.
Your information is collected and used as described in the
Privacy Policy. The Organizer is independently responsible for
its own use of your information. By purchasing a Ticket, registering, or making a Donation, you agree to receive
transactional messages relating to your order (such as confirmations, tickets, and Event updates). PosterMyWall may
contact you regarding your order for support or fraud-prevention purposes.
The terms in this section (Sections 22–25) take effect when the Donations feature becomes available. Donations are
an optional add-on that an Organizer may enable on an Event; they are not a separate donation product or page.
22. Donations as an Optional Add-On
An Organizer may enable an optional Donation on an Event. When enabled, an Attendee or visitor may choose to
contribute an open amount through the Event Services, in addition to any Ticket. A Donation is voluntary, is made to
the Organizer, and does not purchase admission. A person may, depending on the Event, register and donate, donate
only, or register only. Donations may be enabled on any Event type supported by the Event Services.
Where an Event uses a custom link for registration, registration may occur on a third-party site outside the Event
Services while the Donation is processed through the Event Services. In that case the off-platform registration is
permitted, and the restriction in Section 22A applies only to the Donation processed through the Event Services.
A Donation is a payment tied to a specific Event listed through the Event Services and is not a standalone money
transfer, remittance, or general-purpose payment service. PosterMyWall does not provide money-transmission services.
22A. No Deceptive Off-Platform Diversion
The Organizer must not misrepresent an off-platform payment as a Donation made through the Event Services, and must
not use the Event Services to solicit a Donation and then divert that Donation off-platform in order to circumvent
PosterMyWall’s payment systems, protections, monitoring, or applicable fees. For clarity, this Section does not
restrict the Organizer from accepting in-person or cash contributions, or from using the custom-link feature to
direct users to the Organizer’s own external page.
23. Donation Processing, Fees, and Payouts
Donations are processed through PosterMyWall’s checkout and Stripe on the same basis as Ticket payments, and create
an order confirming the Donation. PosterMyWall’s fees apply to each Donation on the same basis and at the same rates
as they apply to Tickets, and are deducted from the Donation amount. The Organizer receives the Donation net of
PosterMyWall’s fees. All provisions of these Event Terms governing fees, settlement, holds, reserves, offsets,
recovery, and payouts apply equally to Donations.
24. Donations Are Non-Refundable
Donations are non-refundable. If a Buyer is refunded for a Ticket, any Donation made in the same order remains
captured and is not refunded. PosterMyWall may nonetheless review, decline, or issue refunds of Donations, including
after any cutoff, in cases of fraud, cancellation, enforcement, or risk. Donation non-refundability is disclosed to
the contributor before payment.
25. Contributor Disclosures; Tax Treatment
Before completing a Donation, contributors are informed that a Donation is a voluntary, non-refundable contribution,
that it is not tax-deductible unless the Organizer states otherwise, and that the Organizer is solely responsible
for the use of Donation funds. PosterMyWall makes no representation that any Donation is tax-deductible. If the
Organizer represents that Donations are tax-deductible or are received for charitable purposes, the Organizer
represents and warrants that it is legally entitled to make that representation, is solely responsible for its
accuracy and for any associated tax, receipting, reporting, and charitable-solicitation obligations, and shall
indemnify PosterMyWall against any claim arising from that representation.
The Organizer is solely responsible for the use of all Donation funds it receives, for any promises made to
